• Guardian Agent Anti-Hallucination System: Advanced pattern detection for reasoning models and enterprise fabrication prevention
• Real-Time Integrity Monitoring: Dashboard and compliance tracking capabilities
• Contextual Refresher Technology: Proprietary drift detection and knowledge base generation
• Universal AI Governance: Multi-provider compatibility across OpenAI, Anthropic, HuggingFace, and other AI systems
• Enterprise Security Monitoring: AI system security and regulatory compliance oversight
• Performance Analytics: Comprehensive monitoring with circuit breaker protection and intelligent caching

2.2 Universal AI Governance Services

Our services provide comprehensive AI governance and integrity monitoring for:

2.3 Service Delivery

Services are delivered through:

3.1 Account Creation

To access our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Requirements

• You must provide accurate and complete registration information
• You must maintain current and accurate account information
• You may not create multiple accounts without our express permission

Security Violations

• Attempt to gain unauthorized access to our systems or data
• Introduce malware, viruses, or other harmful code
• Engage in hacking, penetration testing, or security research without permission
• Circumvent or disable security features of our services

Misuse of AI Technology

• Generate content that is harmful, offensive, or inappropriate
• Create deepfakes or misleading synthetic media
• Develop AI systems for surveillance or tracking without consent
• Use our services to create competing AI monitoring platforms

5.1 Our Intellectual Property

The services, including all software, technology, content, trademarks, and other materials, are owned by us or our licensors and are protected by intellectual property laws. Our intellectual property includes:

• Software and Technology: All code, algorithms, and technical systems
• Trademarks: AI Integrity Platform, Universal AI Governance, Guardian Agent, Contextual Refresher Technology™, and related marks
• Content: Documentation, training materials, and knowledge bases
• Trade Secrets: Proprietary methods and processes
• Patents: Current and future patent applications

5.2 Limited License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our services for their intended purposes
• Use our APIs in accordance with our API documentation
• Download and use materials we specifically designate as available for download

5.3 Customer Data and Content

You retain ownership of data and content you submit to our services ("Customer Data"). By using our services, you grant us a license to:

• Process Customer Data to provide our services
• Use anonymized and aggregated data for service improvement
• Create derivative works necessary for service delivery
• Store and backup Customer Data for service continuity

6.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available on our website and may be updated with 30 days' notice.

6.2 Payment Processing

• All fees are payable in U.S. dollars
• Subscription fees are billed in advance on a monthly or annual basis
• We use third-party payment processors for billing and payment collection
• You authorize us to charge your designated payment method for all applicable fees

6.3 Auto-Renewal

Subscriptions automatically renew for successive periods unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting customer support.

6.4 Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rated refunds available within 30 days of payment
• Setup fees and professional services: Generally non-refundable
• Processing time: Refunds processed within 5-10 business days

7.1 Service Level Objectives

We strive to maintain high service availability but do not guarantee uninterrupted service. Our target service levels are:

• Uptime: 99.5% monthly availability (excluding scheduled maintenance)
• Response Time: 95% of requests processed within 2 seconds
• Support Response: Initial response within 4 business hours

7.2 Scheduled Maintenance

We may perform scheduled maintenance with advance notice when possible. Scheduled maintenance windows are:

• Routine Maintenance: Weekends between 12 AM - 6 AM MST
• Emergency Maintenance: As needed with minimal advance notice
• Major Updates: Planned during low-usage periods with 48-hour notice

8.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.2 Data Processing Agreement

For customers subject to GDPR or other data protection laws, we offer a separate Data Processing Agreement that governs our processing of personal data on your behalf.

9.1 Limited Warranty

We warrant that our services will perform substantially in accordance with our published documentation under normal use conditions.

9.3 AI Technology Limitations

You acknowledge that AI technology has inherent limitations, including:

• Potential for generating incorrect or incomplete information
• Performance variations across different domains and use cases
• Possible bias in training data or algorithmic decision-making
• Risk of unexpected behavior or "hallucination" in AI outputs

10.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, or business opportunities
• Data loss, corruption, or unauthorized access
• Business interruption or operational downtime
• Third-party claims or professional liability
• Regulatory fines, penalties, or sanctions
• Any damages arising from your use of third-party services or integrations

11.1 Customer Indemnification

You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms or applicable laws
• Your violation of any third-party rights
• Content or data you submit to our services
• Your professional services or business operations
• Any negligent or wrongful act or omission by you or your employees

11.2 Company Indemnification

We will indemnify you against third-party claims that our services directly infringe a valid U.S. patent, copyright, or trademark, provided you:

• Promptly notify us of the claim
• Give us control over the defense and settlement
• Provide reasonable cooperation in the defense

12.1 Termination by Customer

You may terminate your account and these Terms at any time by:

• Canceling your subscription through account settings
• Contacting customer support
• Providing written notice of termination

12.2 Termination by Company

We may terminate your account and these Terms immediately if:

• You violate these Terms or our policies
• You fail to pay required fees
• We determine termination is necessary for legal or security reasons
• We discontinue our services (with 30 days' notice)

12.3 Effect of Termination

Upon termination:

• Your access to our services will be suspended or terminated
• We will delete or return your data in accordance with our data retention policies
• Accrued payment obligations remain in effect
• Provisions that by their nature should survive will continue in effect

13.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

13.2 Jurisdiction and Venue

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction of such courts.

13.3 Informal Resolution

Before filing any legal action, you agree to attempt informal resolution by contacting us through our platform contact form with a detailed description of the dispute.

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and us regarding our services.

14.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified via email or platform notification with 30 days' advance notice.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
